2. Services
2.1 Scope of Services. The specific services provided to each client are defined in a separate service agreement, proposal, or statement of work entered into between Pixel Knight Marketing LLC and the client. These Terms of Service govern all such engagements.
2.2 Service Descriptions. Services may include but are not limited to local search engine optimization, Google Business Profile setup and management, WordPress website design and development, SEO content strategy, and marketing consulting.
2.3 AI-Powered Workflows. Pixel Knight Marketing LLC uses artificial intelligence tools and automated workflows to enhance service delivery, improve turnaround times, and increase accuracy. By engaging our services you acknowledge and consent to the use of AI-assisted tools as part of our standard service delivery process. All work produced using AI tools is reviewed and supervised by a human professional before delivery.
2.4 Third-Party Platforms. Many services involve third-party platforms including but not limited to Google Business Profile, Google Search Console, Google Analytics 4, Google Tag Manager, Meta Business Suite, and LeadSnap. Pixel Knight Marketing LLC is not responsible for changes, outages, policy updates, or restrictions imposed by these third-party platforms. Performance of services may be affected by decisions made by these platforms outside our control.
3. No Guarantee of Results
3.1 Search Engine Rankings. Pixel Knight Marketing LLC does not guarantee specific rankings, positions, traffic levels, lead volumes, or revenue outcomes. Search engine algorithms are controlled by third parties including Google and are subject to change at any time without notice. Rankings fluctuate and are influenced by factors outside our control including competitor activity, algorithm updates, domain history, and market conditions.
3.2 Google Business Profile. Results from Google Business Profile optimization vary based on market competitiveness, the age and history of the profile, the number and quality of reviews, and Google’s local ranking algorithm. We do not guarantee Map Pack placement or specific position in local search results.
3.3 Website Performance. We do not guarantee that websites built or optimized by Pixel Knight Marketing LLC will achieve specific traffic, conversion, or revenue targets.
3.4 No Guarantee Is Industry Standard. The absence of a ranking or results guarantee is standard practice throughout the search engine optimization industry and reflects the nature of working within third-party platforms we do not control.
4. Client Responsibilities
4.1 Accurate Information. Clients are responsible for providing accurate, complete, and current information about their business including business name, address, phone number, hours of operation, service descriptions, and any other information required to perform the services.
4.2 Access and Cooperation. Clients are responsible for providing timely access to required accounts, platforms, and credentials including Google Business Profile, Google Search Console, website hosting, and any other platforms necessary to perform the services. Delays caused by a client’s failure to provide access may affect timelines and outcomes.
4.3 Content Approval. Clients are responsible for reviewing and approving content, copy, and creative materials in a timely manner. Delays in approval may affect project timelines.
4.4 Compliance. Clients are responsible for ensuring that their business, its products, and its services comply with all applicable laws and regulations. Pixel Knight Marketing LLC does not provide legal, regulatory, or compliance advice.
4.5 Backup and Data. Clients are responsible for maintaining backups of their website files, databases, and content. Pixel Knight Marketing LLC is not responsible for data loss resulting from technical issues, hosting failures, or circumstances outside our control.
4.6 Content Ownership. Clients warrant that all photos, logos, written content, and other materials provided to Pixel Knight Marketing LLC for use in any project are owned by the client or properly licensed for commercial use. The client assumes full responsibility for any copyright infringement or intellectual property claims arising from materials they provide.
4.7 Hosting and Domain Responsibility. Clients are responsible for maintaining their own web hosting account and domain registration including timely renewal of hosting and domain subscriptions. Pixel Knight Marketing LLC is not responsible for website downtime, data loss, or any other issues resulting from the client’s failure to maintain their hosting or domain. Following project delivery, ongoing maintenance, plugin updates, security patches, and backups are the client’s responsibility unless a separate maintenance agreement is in place.
4.8 Legal Review of Website Documents. Privacy Policy and Terms of Service pages delivered as part of a website project are drafted based on general best practices for digital marketing businesses. They are not a substitute for legal advice. The client is responsible for having these documents reviewed by a licensed attorney before publishing. Pixel Knight Marketing LLC makes no warranty as to the legal sufficiency of these documents for the client’s specific business, industry, or jurisdiction.
4.9 Website Copy Review. All website copy is written for SEO and marketing purposes. It is the client’s responsibility to review all content for accuracy, compliance with applicable laws and regulations, and any industry-specific requirements before the website is published. Pixel Knight Marketing LLC is not responsible for claims arising from published content that was approved by the client.
5. Payment Terms
5.1 Fees. Service fees are outlined in the applicable service agreement or proposal. All fees are in United States dollars.
5.2 Payment Schedule. Payment terms are defined in the individual service agreement. Unless otherwise agreed in writing, invoices are due upon receipt.
5.3 Late Payments. Pixel Knight Marketing LLC reserves the right to suspend or terminate services for accounts that are past due. We reserve the right to charge a late fee of 1.5 percent per month on outstanding balances not paid within 30 days of the invoice date.
5.4 Payment Before Website Launch. No website will be published, transferred, or made accessible to the public until all outstanding balances related to the project have been paid in full. Pixel Knight Marketing LLC retains the right to withhold delivery of login credentials, file transfers, and domain access until payment is confirmed.
5.5 Refunds. All fees paid for services rendered are non-refundable. If a project is cancelled before completion, the client is responsible for fees for all work completed up to the date of cancellation.
5.6 Disputed Charges. Clients must notify Pixel Knight Marketing LLC in writing within 14 days of receiving an invoice to dispute any charges. Failure to dispute charges within this period constitutes acceptance of the invoice.
6. Term and Termination
6.1 Month-to-Month Services. Ongoing retainer services are provided on a month-to-month basis unless otherwise specified in a written service agreement. Either party may terminate ongoing services by providing written notice via email to the contact information listed in these Terms. Notice is considered received on the date the email is sent.
6.2 Project-Based Services. Project-based engagements such as website builds or one-time audits terminate upon completion and delivery of the agreed deliverables.
6.3 Termination for Cause. Pixel Knight Marketing LLC reserves the right to terminate services immediately and without prior notice if a client engages in conduct that is abusive, threatening, illegal, or materially harmful to the business or reputation of Pixel Knight Marketing LLC.
6.4 Effect of Termination. Upon termination, Pixel Knight Marketing LLC will provide the client with reasonable access to deliverables completed and paid for up to the date of termination. Pixel Knight Marketing LLC retains the right to remove access to any tools, platforms, or accounts set up on the client’s behalf using agency credentials.
6.5 Abandoned Projects. If a project becomes inactive for 30 or more consecutive days due to the client’s failure to respond to requests for feedback, approvals, content, or credentials, Pixel Knight Marketing LLC reserves the right to consider the project complete and invoice for all work completed to date. The full project fee will be due within 14 days of the abandonment notice. Pixel Knight Marketing LLC will provide written notice before invoking this clause.
7. Intellectual Property
7.1 Client-Owned Deliverables. Upon receipt of full payment for all outstanding fees, ownership of custom deliverables including website design files, written content, and graphic assets created specifically for the client transfers to the client.
7.2 Agency-Owned Materials. Pixel Knight Marketing LLC retains ownership of proprietary methodologies, frameworks, templates, processes, tools, and systems used in the delivery of services. Delivery of a client project does not transfer ownership of these underlying assets.
7.3 Third-Party Assets. Some deliverables may include licensed third-party assets such as stock photography, fonts, or plugins. Use of these assets is subject to the applicable third-party license terms. Pixel Knight Marketing LLC will disclose the use of third-party assets where applicable.
7.4 Client Content. The client grants Pixel Knight Marketing LLC a limited license to use, reproduce, and modify client-provided content solely for the purpose of delivering the services.
7.5 Portfolio Rights. Unless a client requests otherwise in writing, Pixel Knight Marketing LLC reserves the right to display work completed for clients in our portfolio, case studies, and marketing materials. Specific client names and identifying details will be anonymized unless the client provides written consent to be identified.
8. Confidentiality
8.1 Client Information. Pixel Knight Marketing LLC will treat all non-public business information provided by clients as confidential and will not disclose it to third parties except as necessary to perform the services or as required by law.
8.2 Agency Information. Clients agree to treat as confidential any proprietary methodologies, processes, pricing, or business information disclosed by Pixel Knight Marketing LLC in the course of the engagement.
8.3 Professional Consultation and Community Engagement. In the course of delivering services, Pixel Knight Marketing LLC may share client information in professional development and consultation contexts including SEO community forums, peer review sessions, video calls with colleagues or mentors, and professional troubleshooting discussions. Pixel Knight Marketing LLC is committed to full transparency about this practice and will make reasonable good-faith efforts to anonymize or de-identify client information before sharing it in these contexts. Complete anonymization may not always be possible or practical. Pixel Knight Marketing LLC will not share sensitive personal data, financial information, or proprietary business information beyond what is reasonably necessary for the consultation purpose.
8.4 Exceptions. Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, is independently developed by the receiving party, or is required to be disclosed by law or court order.
9. Limitation of Liability
9.1 Indirect Damages. To the maximum extent permitted by applicable law, Pixel Knight Marketing LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the services, including but not limited to loss of revenue, loss of profits, loss of data, or loss of business opportunity.
9.2 Cap on Liability. To the maximum extent permitted by applicable law, the total liability of Pixel Knight Marketing LLC for any claim arising from or related to the services shall not exceed the total fees paid by the client to Pixel Knight Marketing LLC in the three months immediately preceding the event giving rise to the claim.
9.3 Third-Party Actions. Pixel Knight Marketing LLC is not liable for damages arising from actions taken by third-party platforms including Google, Meta, TikTok, or any other platform on which services are performed.
10. Indemnification
You agree to indemnify, defend, and hold harmless Pixel Knight Marketing LLC, its owner, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses including reasonable legal fees arising from your use of our services, your violation of these Terms, your violation of any third-party rights, or any content you provide to us in connection with the services.
11. Website Use
11.1 Permitted Use. You may use this website for lawful purposes only. You may not use this website to transmit spam, malware, or any content that is unlawful, harmful, or offensive.

13. Governing Law and Dispute Resolution
13.1 Governing Law. These Terms of Service and any disputes arising from or related to them shall be governed by the laws of the State of Tennessee without regard to its conflict of law provisions.
13.2 Venue. Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Knox County, Tennessee. You consent to the personal jurisdiction of these courts.
13.3 Informal Resolution. Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days following written notice of the dispute.
13.4 Attorney Fees. In any dispute arising from these Terms, the prevailing party shall be entitled to recover reasonable attorney fees and costs from the non-prevailing party.
